Terms of Service

This template covers the essentials of a SaaS terms-of-service agreement but is not legal advice — have it reviewed by counsel before relying on it in production.

1. Acceptance of terms

By creating an account or otherwise using SmoothProfit (the "Service"), you agree to these Terms. If you're using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

SmoothProfit lets Agencies run one or more white-labeled affiliate/referral Programs: recruiting and managing Affiliates, tracking clicks and conversions, and disbursing commission payouts.

3. Accounts

You're responsible for maintaining the security of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

4. Affiliate program rules

Each Program is configured and operated independently by its Agency. Agencies are responsible for:

• Setting accurate commission terms and honoring them.
• Reviewing and approving/rejecting Affiliate applications and conversions.
• Complying with applicable advertising, tax, and consumer-protection law for their Program.

Affiliates are responsible for complying with each Program's specific rules and for not engaging in Prohibited Conduct (Section 6).

5. Payments & payouts

Commission payouts are disbursed through connected payment providers (e.g. Stripe Connect). SmoothProfit facilitates and records these transfers on an Agency's instruction but is not a party to, and does not guarantee, any individual payout — funds move directly between the Agency's and Affiliate's accounts at the provider. Platform subscription fees (where applicable) are billed in advance per the plan you select.

6. Prohibited conduct

• Fraudulent or self-referral traffic, including circumventing self-referral blocks.
• Cookie stuffing, click spam, or other artificial inflation of tracked activity.
• Attempting to access another tenant's (Agency's or Affiliate's) data without authorization.
• Using the Service to violate any applicable law.

7. Termination

Either party may terminate an account at any time. We may suspend or terminate access immediately for a violation of Section 6 or for non-payment.

8. Disclaimers & limitation of liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, SmoothProfit is not liable for indirect, incidental, or consequential damages, or for the acts of any Agency or Affiliate using the Service.

9. Governing law

These Terms are governed by the laws of the jurisdiction in which SmoothProfit is incorporated, without regard to conflict-of-law principles.

10. Changes to these terms

We'll update the "Last updated" date above whenever these Terms change materially.
